Oil & Gas UK has three not-for-profit subsidiary companies, two of which (CDA and Step Change for Safety) have their own membership.

Common Data Access Limited (CDA) Oil & Gas UK membership will give you the opportunity to become members of CDA. CDA was established in 1995 to provide shared data storage and access services for UKCS well and seismic data. Digital information for more than 10,500 UKCS wellbores and 1,100 seismic surveys is managed by CDA, which also operates the DEAL website, a unique source of UKCS subsurface data, infrastructure and other reference information. Industry collaboration, through CDA membership, brings significant efficiencies, economies of scale as well as significant added value to participants. CDA engages closely and frequently with members to improve and develop services for licensees and the supply chain alike. FACING INDUSTRY CHALLENGES

Oil & Gas UK comprises several Policy Directorates, each of which is tasked with working industry issues on behalf of our members. Our Directorates house a number of discussion forums and work groups, many technical in nature. Members are invited to nominate representatives from within their respective companies to the relevant forums and groups based on the inclusion criteria below. The forums provide the link between our member companies and Oil & Gas UK, ensuring that we are aware of members’ positions on particular issues and can provide guidance on policy options and proposals. The forums also act as a mechanism for specialist engagement with external stakeholders, for example, the Department of Energy and Climate Change (DECC), HM Treasury, Government agencies and the Health and Safety Executive. Any of the forums are open to representatives from member companies and offer outstanding opportunities to share expertise and to learn from best practice. Attendance at the forums encourages open dialogue across the industry and serves as a way to strengthen communication by allowing individuals to come together and meet their peers. The agendas for each forum and work group are member-led meaning that the topics discussed are decided by you.

INTRODUCTION

Oil &Gas UK has a robust governance structure in place, dictated by our Articles of Association. We recognise our privileged position as a representive body for the industry and that we are trusted with confidential industry information. In this respect, we hold governing policies on Competition Law and the Bribery Act and have clear procedures on the management of confidential data. The following network of groups complieswith that governance and guarantees that every member company is given a regular opportunity to have a say on Oil & Gas UK’s strategy and annual work plan.

OIL & GAS UK BOARD

The ultimate responsibility for the setting of Oil & Gas UK’s position on policy matters lies with the Board which is made up of a cross-section of the membership.

Board Composition • Maximum twelve representatives from operator companies

• Maximum ten representatives from contractor/supply chain companies • One representative from a non-operator or independent oil company • The chief executive of Oil & Gas UK

To ensure the regular rotation of Board members, industry representatives can only serve on the Board for a maximum of five years in total and are required to stand for re-appointment every two years.

Officers The officers are appointed by the Board from among their number and comprise Joint Chairs (one operator; one contractor); two Vice Chairs and the Honorary Treasurer. The Chairs alternate the chairing of Board meetings between them and serve for a maximum period of two years.

OPERATOR AND CONTRACTOR COUNCILS

What are they? The Oil & Gas UK Councils are advisory bodies to the Oil & Gas UK Board and Directorates and offer members the chance to directly influence and decide Oil & Gas UK priority policy areas. Every member company (not including associate members) has a seat at the table. Many of the main points raised at forum level will be discussed at Council to ensure a wider input before going to the Board as required. Why should you attend? The Councils provide a unique opportunity for senior industry leaders to network and to discuss industry issues for the greater good of the UK’s oil and gas industry. As part of the membership application process, you will be asked to nominate a Council Representative, who will normally be a director or senior manager from your company, to either the Operator Council or the Contractor Council depending on your company’s designation. The role of the Council Representative is to ensure that nominations to forums and work groups are kept up-to- date and to fully endorse the work of the forums. How frequently do they meet? • Operator Council: meets twice a year • Contractor Council: meets twice a year in two rounds, once in Aberdeen and once in London Joint Council: Spring Conference and AGM Additionally, both Councils meet jointly at two annual summits (once at the Spring Conference and once at the AGM in December) to share knowledge and to compare and contrast viewpoints.

BUSINESS DEVELOPMENT DIRECTORATE The Business Development Directorate helps to inform the Oil & Gas UK agenda in all aspects of its work, through high quality membership engagement and the promotion of collaboration across Oil & Gas UK Directorates. It is central to building the organisation’s capability and influence as the leading voice for the UK’s offshore oil and gas industry. The Directorate is responsible for membership recruitment and all related processes.

COMMUNICATIONS DIRECTORATE One of Oil & Gas UK’s strategic priorities is to raise the positive profile and reputation of the industry. The Communications Directorate contributes directly to this aim. The teamworks with colleagues across the Oil &Gas UK Directorates to bring the policies and programmes endorsed by Council and Board to a wider audience through Government relations, media relations, publishing services and events. It uses briefings, meetings, conferences and other special events to inform key stakeholders about the industry, taking journalists and politicians directly to the heart of its issues through regular news updates and comment as well as site visits to member companies, both on and offshore. Close contact with the Parliaments in London, Edinburgh and Brussels, the Scottish and UK Governments, EU Commission, regulators, local authorities and other stakeholders across the UK and elsewhere also allows Oil & Gas UK to keep abreast of the regulatory, legislative and economic developments that could affect your company and to help frame appropriate, strategic responses on behalf of the industry. Why should you engage? The Communications Policy Advisory Forum offers media and Government relations practitioners in member companies the opportunity to raise industry reputational issues with the Association and the opportunity to help shape the external communications carried out by Oil & Gas UK on behalf of the industry. The briefings, fact sheets, statements and comments issued by the Association may also be used to inform member companies’ own communication programmes.

Who can participate? Membership of the Communications Policy Advisory Forum is open to all Oil & Gas UK member companies.

How frequently are meetings held? The Communications Policy Advisory Forum largely operates as a ‘virtual’ network but meets physically twice a year in June and December. Its ad hoc issue-driven workshops meet as and when required.

ECONOMICS & COMMERCIAL DIRECTORATE The Economics & Commercial Directorate provides a centre of expertise on the oil and gas industry, compiling reports and analysis on industry activity, investment and outlook. The figures can be used to highlight the contribution the industry makes to the economy, not just directly, but also indirectly through the supply chain. Working closely with organisations such as the Department of Energy and Climate Change (DECC), Ofgem, HM Treasury and the media ensures the Directorate has input to promoting the interests of the industry in both the UK and EU. The Directorate strives to improve the competitiveness and delivery of the oil and gas industry in the UK by influencing regulatory, energy and fiscal policy. Why should you attend? The Gas Forum offers opportunities for members with interest and expertise in upstream natural gas to influence the future role of gas in energy policy. The forum addresses gas issues which may affect members’ interests in the upstream oil and gas industry in the UK. Working as a review body to help identify relevant policy, legal and regulatory developments, both within the EU and the UK, the Gas Forum is also a mechanism for engagement with Government and other external stakeholders, such as Ofgem and National Grid, over gas issues and consultations.

The Environmental Issues Directorate work programme is driven by two objectives:

• To work across the industry and with Government departments and their agencies to monitor and understand the environmental impacts of hydrocarbon exploration, production, decommissioning and associated supply chain activities to ensure the risks are appropriately managed

• To influence the development of new environmental legislation and to press for regulatory reform to minimise potential impacts on operations and the competitiveness of the industry

These are delivered through lobbying and response to consultations, focussed research and data analysis. Pan-industry cooperation through work groups is important to understand issues of concern and developing a coherent response. The Directorate participates in a wide range of environmental groups and committees and engages in cross-sector collaboration in developing lobbying strategies.

ENVIRONMENTAL ISSUES DIRECTORATE: OIL SPILL RESPONSE FORUM (OSRF)

Why should you attend? The Oil Spill Response Forum provides opportunities for members to be at the heart of developing and maintaining an effective, robust and sustainable oil spill response capability for upstream operations on the UKCS. The Oil Spill Response Forum was created as a result of the outcomes of the Oil Spill Prevention and Response Advisory Group (OSPRAG), a group established to co-ordinate the UK’s response to the issues arising from the 2010 Deepwater Horizon incident in the Gulf of Mexico. Who can attend? Membership of the Oil Spill Response Forum is open to all Oil & Gas UK members. A range of external authorities, such as the Department of Energy and Climate Change (DECC) and the Maritime and Coastguard Agency (MCA), are also invited.

HEALTH, SAFETY & EMPLOYMENT (HSE) DIRECTORATE The Health, Safety & Employment Directorate strives towards making the UK the safest place to work in the worldwide oil and gas industry by managing and co-ordinating the development of cooperative solutions to a wide range of health and safety issues on behalf of the upstream oil and gas industry. The team identifies priority areas for action and drives improvement efforts through detailed statistical analysis and research, allowing the directorate to represent the industry view on emerging issues and provide co-ordinated responses to Government consultations. It also supports the development of guidelines and promotes the sharing of best practice and information. In the areas of employment and skills, the Directorate works with OPITO to ensure the industry continues to attract and retain a highly skilled workforce, responds to Government consultations on issues such as immigration and pension reform, and provides briefings for member companies.

OPERATIONS DIRECTORATE The Operations Directorate works with member companies across the oil and gas supply chain, from operators to suppliers, to deliver solutions to increase the efficiency and lifespan of operations on the UK continental shelf (UKCS) and ensure the integrity of assets. The team develops and implements legal and operational policy in the areas of licensing, exploration and appraisal, field development, production operations and decommissioning. The Operations Directorate also liaises with external stakeholders such as the fisheries and renewable industries and responds to external consultation requests. It also carries out annual surveys of exploration and decommissioning activities on the UKCS.

TheWell Life Cycle Practices Forumprovides opportunities for members to help implement the recommendations of the Oil Spill Prevention and Response Advisory Group (OSPRAG) and to be at the forefront of engagements between the industry, the Department of Energy and Climate Change (DECC) and the Health and Safety Executive (HSE) on pan-industry well-related issues. The WLCPF forms work groups as required which then report back to the WLCPF at the forum meetings, allowing detailed discussion of current issues. Who can attend? Senior representatives (usually drilling or well managers) from those Oil &Gas UKmember companies responsible for well design, construction, management and intervention operations.

How frequently are meetings held? The WLCPF meets six times per year.

OPERATIONS DIRECTORATE: LEGAL ISSUES FORUM (LIF)

Why should you attend? The Legal Issues Forum provides an active forum for members to be able to come together and raise legal areas that they would either like to know more about or they think could benefit from industry consultation. The Legal Issues Forum recognises its wide ambit and, as such, the majority of its areas will be examined in dedicated work groups of interested parties. Who can attend? Attendance at the forum is open to all Oil & Gas UK members and is usually attended by a member’s in-house lawyer or senior commercial managers. How frequently are meetings held? The forum will be held twice a year; however work groups will be held on a much more frequent basis. Example topics

OPERATIONS DIRECTORATE: SUPPLY CHAIN FORUM (SCF)

Why should you attend? The Supply Chain Forum provides opportunities for members to discuss current, pan-industry supply chain- related issues with each other and with Oil & Gas UK. Attending members play a key role in supply chain and its strategic role in continual business improvement from the perspective of both the client and contractor/supplier. They are also involved in the development and publication of best practices, model documentation and guidance templates. In addition, members will have opportunities to discuss the health, safety and environmental issues in the context of supply chain delivery.

Who can attend? Attendance at the forum is open to all Oil & Gas UK members.

How frequently are meetings held? The Supply Chain Forum meets as a joint Supply Chain Forum four times a year and in separate operator and contractor forum groups three times a year. Why should you attend? The Well Services Contractor Forum provides an active body through which representatives from the UK well services contractor companies can help to enhance and promote the value creation capabilities of the well services sector, for the benefit of the UK offshore industry. It also promotes well services development and business improvement, through the creation and publication of best practices guidance. Members play a key role in promoting health, safety and environmental practices, including training and development, and in advancing common causes and efficient business practices which lead to better operations. Who can attend? Attendance at the forum is open to all Oil & Gas UK members but is usually attended by senior representatives (director / general manager) from those Oil &Gas UK contractor member companies involved inwell construction, management and intervention operations.

MEMBERS’ DIRECTORY Members of Oil & Gas UK are automatically entered into our members’ directory which is available online. Member companies are also added to our membership map. NETWORKING SESSIONS These sessions were introduced to the Oil & Gas UK events calendar in 2011 and provide a dedicated members only event which aims to bring together our continually expanding membership. The sessions usually take place over two hours, opening with one or two short topical presentations, followed by the opportunity to network with the presenters, Oil & Gas UK staff and industry peers. COMMUNICATION TOOLS Members are kept up to date with Oil & Gas UK’s activities and public announcements in a number of ways: • All member contacts receive a monthly e-newsletter direct to their inbox, informing them of activities undertaken by Oil & Gas UK, important information and forthcoming meetings and events • Member contacts, who elect to, receive a hard copy newsletter know as Wireline by post, four times a year. This provides a round-up of Oil & Gas UK activities, news, interviews and thought-provoking articles on industry-related issues • Council members, CPAF (Communications Policy Advisory Forum) members and members of forums relative to the issue in hand receive press releases as they are circulated to the media as well as parliamentary affairs newsletters at intervals during the year • Member contacts, who elect to, receive issue-based newsletters containing the latest updates on particular areas of activity. EXTRANET The extranet site is facilitated by Oil & Gas UK on behalf of its members to allow interested parties to network with each other on areas of common interest. The extranet also provides the facility to access information on meetings (dates, papers and general discussions) that extranet users are connected to and to download Oil & Gas UK guidelines free of charge. You will also find updates on policy issues, government consultations, information on regulatory developments and other activities.

Extranet users are provided with account details after nomination to the forums and workgroups have been received.

PUBLICATIONS Oil & Gas UK publishes industry reports, research and best practice guidelines to keep members ahead of industry trends, legislative and regulatory developments and other intelligence essential to successful business planning. Oil & Gas UK’s annual Activity Survey and Economic Report have become benchmarks for the industry and are widely used by members and policy makers in government, while Wireline, Oil & Gas UK’s quarterly newsletter, and our monthly electronic updates keep members up to speed with the Association’s activities and events. Members will be asked periodically to contribute to important industry surveys and reports. These publications build a comprehensive picture of the UK’s oil and gas industry and are much quoted by senior authorities and government. • ACTIVITY SURVEY The Activity Survey is an annual survey of operators’ long term plans, run in conjunction with the Department of Energy and Climate Change (DECC). The published output on the industry’s investment trends serves to inform the industry, government, MPs, the media, analysts and commentators. Importantly for operators, the data underpin DECC’s engagement with industry to inform government energy policies. Data on the amount of expenditure and likely timings are collected on Capex, Opex and decommissioning at project level, directly from operators, making the Activity Survey one of the most reliable and important sources of information in the UK oil and gas industry. Information is presented in aggregated form, so that the underlying data remains confidential.

• ECONOMIC REPORT The Economic Report is an annual publication which gives a UK perspective on a wide breadth of important industry related topics, ranging from UK energy policy to production rates; supply chain opportunities to decommissioning market size. The report is an ideal starting point for industry newcomers, interested politicians, media and others, with case studies by guest authors offering more detailed insights for the experienced professionals. The high level ‘industry at a glance’ section puts key figures ranging from employment to taxation at the readers fingertips. The Economic Report is a crucial reference point for those involved or interested in the UK’s offshore oil and gas industry. • OIL & GAS UK’S BUSINESS CONFIDENCE SURVEY The Business Confidence Survey is used to gain an understanding of business confidence across the UK upstream oil and gas industry’s supply chain. The information collected is used to inform and lobby government with regards to ensuring a sustainable future for the oil and gas industry. The survey is circulated quarterly to companies in oil and gas exploration and production as well as those providing services and equipment in the UK supply chain. The results acquired provide an effective illustration of the industry’s health. INDUSTRY GUIDELINES Oil & Gas UK provides a lead in the identification and development of industry guidelines on a range of topics. Guidelines are produced where it has been identified that the subject matter has cross- industry relevance or significance; increasingly in the area of health and safety legal compliance for example; the goal-setting nature of modern regulation, dictates that industry guidance is required to interpret legislation and to describe good practice approaches to achieve compliance. Typically Oil & Gas UK draws upon member representatives to form a work group to develop guidance with Oil & Gas UK taking on the administrative and publication workload in support of the work group. Guidelines are published on the Oil & Gas UK website. Depending on the publication media adopted and associated production costs, some guidelines are made available for purchase. Where that is the case, members are able to take advantage of a discounted price. Where lower production costs allow, guidelines may be made available to members as a free download from the website.

OIL & GAS UK EVENTS

Oil & Gas UK runs events to convey topical information, allow the exchange of ideas and also to provoke debate on the important issues of the day, whether technical, operational or corporate.

These events are run throughout the year in a variety of locations across the UK, most recently in Aberdeen, Newcastle and London. In 2011 Oil & Gas UK events attracted a record attendance of 7,000, with around 50 events ranging from small workshops held in-house up to large seminars and conferences attracting in the region of 100 – 250 people. The largest events are the Oil & Gas UK Awards and the PILOT Share Fair where more than 1,500 people attend over 2 days. All members of Oil & Gas UK are eligible for a 35% reduction on the full price of all of the events the association organises. BREAKFAST BRIEFINGS These early morning breakfast events provide opportunities for learning, sharing, lively debate and networking. The events are held in both Aberdeen and London attracting audiences encompassing operators, contractors and the wider supply chain such as finance, recruitment and legal professionals. Aberdeen typically draws around 450 people; London, a more specialist audience, of around 100. Following a networking breakfast, presentations by two or more guest speakers provide a topical and useful insight into the oil and gas industry and the current issues or challenges we face as an industry. SEMINARS Our highly topical seminars, which are run in Aberdeen, regularly attract over 100 delegates from diverse professional backgrounds, from both within and outside the Oil & Gas UK membership. The seminars are held at the Aberdeen Exhibition and Conference Centre and usually take the format of a full-day event. Guest speakers are selected for their close involvement with the topic or expertise in the subject in hand.

OIL & GAS UK EVENTS

CONFERENCES Oil & Gas UK runs a number of well respected and attended conferences, most recently the OSPRAG Summit, the Offshore Decommissioning Conference and the Next Generation Conference. Typically attracting around 300 attendees and representing a broad spectrum of professions, these focused and high calibre conferences provide delegates with the opportunity to hear from our industry’s leaders on a variety of specific and topical areas. WORKSHOPS Oil & Gas UK workshops are run in both Aberdeen and London and are aimed at a wide selection of industry professionals, all of whom require updates or training on a specific industry developments, products or initiatives. Each workshop is developed with the needs of delegates in mind, typically with a class size of around 20 people if held in our offices, or up to 60 if held externally. The half day workshops include presentations, case studies and the opportunity to discuss the topic with peers within the industry. AWARDS Oil & Gas UK holds two sets of annual awards, the UK Oil and Gas Industry Safety Awards and the Oil & Gas UK Awards. The events grow year on year and our winners are widely acknowledged in both the local and national press. PILOT SHARE FAIR PILOT Share Fair allows delegates to be among the first to hear about the latest UK oil and gas business development opportunities from the major oil and gas players. Representative from both the operator and contractor communities unveil their 18 month forward plans for projects in the UKCS at the event. It is the largest event in the Oil & Gas UK programme and in 2011 attracted a record-breaking 1,100 attendees.
