This course will explore the legal implications of corporate financing decisions. The course has two main components: (1) a brief introduction to basic financial economic concepts; (2) legal rights, duties and relationships between the holders of senior securities (primarily debt and preferred shares), holders of common shares, and corporate directors and managers. Unlike a business school course on corporate finance, this course focuses on the legal dimensions of corporate financial decisions. An effort will be made, however, to understand the economic and financial rationale underlying corporate law principles in this area. No prior familiarity with finance will be assumed. Corporate Issues in Health Care

This course centers on the consolidation and restructuring taking place in health care delivery in Massachusetts and throughout the country. Transactions are the focus of the course, including the structuring of affiliations among and acquisition of non-profit hospitals; mergers of health maintenance organizations; the formation of integrated delivery systems, and the pursuit of physician acquisition strategies. The legal issues to be considered in this context include: form of organization, antitrust, fraud and abuse, and Internal Revenue Code rules.
