COURSE DESCRIPTION 2012 2013

3 credits day; 3 credits evening.

This course will provide an opportunity for students to work together with Sawyer Business School students and to learn and develop basic skills demanded of transactional attorneys. Teams of MBA students and law students will meet with, analyze the problem of and counsel small businesses and entrepreneurs. Law students will be introduced to fundamental transactional skills such as client interviewing and counseling, negotiation and drafting. By exposure to real life business client problems students will have the opportunity to operate as co-advisors and lawyers. Students will work throughout the semester in conjunction with MBA students on organizational, governance, strategic and related business and legal problems confronted by all business clients. Law students will be assigned readings that will enable them to function effectively as members of an advisory team. Those teams, composed of one law student and three business students each, will work throughout the semester with the same client, culminating in client presentations at the end of the semester. Grades will be based on that presentation and a take-home exercise.
