Conflict of Interest Policy

Members of the Board of Directors should always act in the best interest of the Bobby Nichols- Fiddlesticks Foundation, Inc. and avoid activities which conflict with or which appear to conflict with their responsibilities to the organization and its members and contributors.

The Bobby Nichols-Fiddlesticks Foundation, Inc. (“Foundation”) is a nonprofit organization formed to generate funds to return to the community via charitable organizations, which serve abused and underprivileged children. The Foundation’s Board of Directors (“Directors”) are chosen to serve the purpose to which the Foundation is dedicated and they have a duty to conduct the affairs of the organization in a manner consistent with such purposes. At times, this service may conflict with the personal interests of the Directors. Service in the nonprofit sector carries with it important ethical obligations. When the personal or professional concerns of a Director affects his or her ability to put the welfare of the Foundation before personal benefit, a conflict of interest exists. Thus, it is important for the Foundation and its Directors to identify, evaluate and address any conflicts of interest that might, in fact or in appearance, call into question such persons’ responsibilities to the organization. Therefore, in the course of meetings or activities, Directors will disclose any interest in a transaction or decision where they, including their business or other non-profit affiliation, their family and/or significant other or their employee(s), will receive a benefit or gain. Furthermore, the Director will refrain from using his or her personal influence to affect the decision or activity and refrain from active participation in any discussions regarding the conflict of interest except to respond to requests for information about the conflict of interest. And finally, the Director will refrain from voting on any decision or action in which they have a conflict of interest. In the event there is doubt as to the existence of a conflict of interest, the matter shall be resolved by a vote of the Directors without the participation of the person concerning whose situation the doubt has arisen.

And finally, this policy is meant to supplement good judgment and all Directors are expected to respect its spirit as well as its wording.

Annually a copy of this policy shall be furnished to each Director of the Foundation and they shall certify that they are in compliance.

The minutes for the March 27, 2017 minutes were submitted and Dick Bean moved the minutes be approved second by Heidi Frederic. Motion carried.

Resolution by Unanimous Consent Bobby Nichols Fiddlesticks Charity Foundation. Resolved, The Board of Directors of the Bobby Nichols Fiddlesticks Charity Foundation, by unanimous consent, effective June 27,2017, hereby authorize the President of the Foundation, Michael Lancellot and the Treasurer, Austin Lydon, apply for and obtain from FineMark Bank, an appropriate credit card with a credit line of a least $10,000. The President and the Treasurer shall be the authorized users of the said credit card. I certify that the above is a true and exact copy of the Resolution of the Foundation. With regrets the Directors accepted the resignation of Andi Horowitz. Andi was a valuable member…she will be missed. This leaves a board vacancy and lead to a discussion of do we nominate a candidate in November or wait to a later date. No decision was made. The Board reviewed the Pros and Cons of the 2016 Event and many of the Cons have already been resolved. One big concern is the length of the Auction. Auctioneer, Scott Robertson feels we should only have 20 Live Auction items. Last year we had 27. Many felt we could move some of those items to the Silent Auction. Another concern was that the Tennis Event wasn’t recognized and that will be taken care of Saturday night. Robb Smith wondered if fans could be installed in the tent to help with the heat and humidity. Sarah will report back. Piper Schedule, Barb Skillman and Dick Bean The first Piper letter will go out in early November followed by one in the middle of November that will include the Piper stickers. Barb and Dick want to make sure the new Member are contacted.

Auction, Gerry Wolken Gerry reported the Lori Cullen has agreed to join his Committee as Auction Coordinator and Linda Crowther will store Auction items in her garage. Gerry pointed out how important the generosity of individuals has been to the success of event over the years. As an example, Masters $232,700, Ireland $338,000 and Casa de Campo $277,400. Katherine Van der Mey, who has Chaired the Silent Auction, ask for help as she will be out of the Country. Kevin Brogan said his wife Diane might be willing to help. Katherine felt we need to increase the people on the Silent Auction Committee.

Video Directors reviewed the video that was produced by Mark Meyers, the person Mike talk to about producing a video for the Bobby Nichols. It was decided that Mike should precede with Mark on this project.

Fifteen years ago a group of Fiddlesticks neighbors contacted me about starting a Foundation in my name. I was honored and humbled by this request. Looking back I could not begin to imagine all that we would accomplish together to assist abused and at risk children in Southwest Florida. With Thanksgiving being just a few weeks away, I wish to offer my sincere gratitude for the legacy you have created for me, my family and for generations to come. This legacy all begins with the Pipers. Some of you may be new to the community and don’t know what being a Piper is all about. Or, you may have heard the misconception that being a Piper means one needs to play in the February golf or tennis Pro-Am tournaments. Simply stated, not everyone can play in these events but everyone can be a Piper by making a donation of $250 for a Family Membership or $125 for a Single Membership. Last year we raised $81,750 in Piper dues from 358 Fiddlesticks homes which was an all-time high! We can proudly state that 100% of these funds are directed to support programs for the children who need our help. I was in touch with our existing Pipers via email last week and they are receiving this letter, too. I shared with them an unfortunate impact of Hurricane Irma: according to The World Health Organization, there is always an increase in child abuse after a natural disaster for many unfortunate reasons. Therefore, your consideration is greatly appreciated. As a thank you for all you have done over the last fifteen years, enclosed please find a car/cart sticker. Please peel off last year’s and display this one proudly on the lower passenger side of your golf cart windshield per the Club’s rules and regulations. We found this decal is a great way to initiate conversation about the Foundation. Let’s continue to stand together with Fiddlesticks Pride to assist these children in need. You may complete and send in the enclosed form. Better yet, visit our secure website ( www.nicholscup.org ) to learn more about our designated charities, The History of Giving ($8,913,000 in 15 years!) and the ability to post your Piper dues via credit card. Please also mark your calendars for Saturday, February 17, 2018 for the Nichols Cup Neighborhood Celebration . More details will follow in January.
