“ By executing this Change Order, Subcontractor/Seller attests that the Subcontract/Purchase Order adjustment provided herein is adequate and constitutes compensation in full for all costs, claims, markup, and expenses, direct or indirect, attributable to this or any other prior Change Orders. Subcontractor/Seller further attests that the Subcontract/Purchase Order Adjustment provided herein constitutes compensation in full for any Damages, costs, expenses, delays, acceleration, or loss of efficiency encountered by Subcontractor in the performance of the Work through the date of this Change Order, and for the performance of this and any prior Change Orders by or before the date of Substantial Completion.” (emphasis added).

Notwithstanding the foregoing and in good faith, SWJV continues to attempt to reach an amicable resolution with Spearhead and will be contacting Spearhead to schedule a meeting on November 30 th , 2020. SWJV reserves all rights and remedies under the Subcontract as well as those rights and remedies at law and in equity.
