RE: LaGuardia Airport Central Terminal Building Replacement Project (the “ Project ”); Subcontract No. 620-027 (the “ Subcontract ”) between Skanska/Walsh Joint Venture (“ SWJV ”)

and Spearhead Construction LLC (“ Spearhead ); Notice to Spearhead of Reduced Scope Bridge B .

Ms. Hidalgo:

This notice memorializes our conversation on Friday, January 24.

 To date, Spearhead’s rate of progress has been insufficient to meet the Project Schedule. Spearhead furthermore did not submit a Recovery Plan detailing how it intended to recover its delays consistent with the Project Schedule. The lack of progress continues to threaten the overall schedule and has potential cost and schedule impacts for which Spearhead would be responsible.

 As a necessary mitigation, SWJV and Spearhead agree to remove scope from Spearhead and that the removed scope would be transferred to and performed by another contractor, Donaldson.

 Spearhead would be responsible for the costs and impacts incurred to perform the removed scope. The removed scope is generally all ceiling and wall work north of the elevator lobby and back-of-house first, second, and third floor.

 This agreement will be memorialized in a subsequent deductive change order to the Subcontract.

SWJV reserves all rights and remedies under the Subcontract and at law and equity.
