signed by the candidate. Council Members may only nominate or second one candidate. 67. A voting paper containing the names of all candidates will be handed to each Council Member at such time as the Board shall prescribe each year. The name of any person nominated as a director who has failed to be re-appointed to the Council at the annual general meeting shall be withdrawn from the ballot. 68. In the event that a ballot is necessary, such ballot shall take place at the first Council meeting following the annual general meeting in such manner as the directors shall prescribe. 69. The requisite number of candidates recording the highest number of votes shall be declared elected at the first Council meeting following the annual general meeting to fill the vacancies that have arisen, such persons to serve for a two year term (as appropriate pursuant to Article 64) from that Council meeting. COUNTY SECRETARY 70. The directors shall decide who shall be appointed as the County Secretary for such term and upon such conditions as they think fit. Any person so appointed may be removed by the directors at any time. The directors may fill any casual vacancy in the position of County Secretary. DELEGATION OF DIRECTORS’ POWERS 71. The directors may delegate any of their powers to any committee consisting of one or more directors. They may also delegate to any managing director or any director holding any other executive office such of their powers as they consider desirable to be exercised by him. Any such delegation may be made subject to any conditions the directors may impose, and either collaterally with or to the exclusion of their own powers, and may be revoked or altered. Subject to any such conditions, the proceedings of a committee with two or more members shall be governed by the Articles regulating the proceedings of directors so far as they are capable of applying. APPOINTMENT AND RETIREMENT OF DIRECTORS 72. Without prejudice to the provisions of section 168 of the Act, the members may by ordinary resolution remove any director before the expiration of his period of office and may by an ordinary resolution appoint another suitably qualified person in his stead; but any person so appointed shall retain his office so long only as the director in whose place he is appointed would have held the same if he had not been removed.
