(b) If, upon the winding up or dissolution of the Organisation, there remains any surplus assets after satisfaction of all its debts and liabilities: (i) the surplus assets must not be paid to, or distributed among, members of the Organisation; and (ii) the surplus assets must be given or transferred to some other institution or institutions that: A. have objects similar to the objects of the Organisation; B. also prohibits the distribution of its property among its members; and C. is or are deductible gift recipients within the meaning of the Income Tax Assessment Act 1997 (Cth). The decision of which body to distribute the surplus assets to will be determined by the members of the Organisation at or before the time of dissolution, or if no decision is made, by the Minister for Justice of the State of Queensland. Incorporated status For the avoidance of doubt and notwithstanding any other provision of this constitution, it is expressly acknowledged and provided that: (a) The Officers from time to time holding office as Chairman, Deputy Chairman and Honorary Treasurer have been and are incorporated by Letters Patent under the RECI Act and as so constituted have perpetual succession and a common seal; The Incorporated Body holds the income and assets of the Organisation upon trust for the objects of the Organisation and otherwise in accordance with this constitution; The name and style of the Incorporated Body is "Royal Queensland Bush Children's Health Scheme"; The Incorporated Body is (and has always been) entitled to be indemnified from the assets held by it upon such trust for and in respect of all debts and other obligations properly incurred by the Incorporated Body in the performance of such office; The Incorporated Body and the Organisation have no right of indemnity against the members of the Organisation; The Incorporated Body may exercise any and all of the powers set out in clause 4 of this constitution together with all such powers as it is otherwise permitted to exercise by the RECI Act, the Trusts Act 1973 (Qld) or otherwise by law; The Incorporated Body and the Officers will not be liable under this constitution or otherwise in respect of any obligations entered into in respect of things done by the Incorporated Body to any further or greater extent than the assets which are held upon trust and available to be resorted to from time to time; (c) (b) (c) (d) (e) (f) (g)

The indemnities in clause 15: (i)

will be read and construed as indemnities to be met and satisfied out of the assets held by the Incorporated Body upon trust, and only to the extent of the assets held from time to time held upon trust and available to be resorted to (and not otherwise); and
