General Terms and Conditions for the Hotel Admission Agreement



1. These Terms and Conditions apply to agreements between the Sunflower Management GmbH & Co KG (hereinafter referred to as the " Hotel ") and the Client on renting hotel rooms for accomodation including all further associated services and deliveries of the Hotel (hereinafter also collectively referred to as the " services of the hotel "). 2. Subletting the rooms left to the Client as well as using them for other purposes than accomodation requires the Hotel's prior written approval. 3. For the agreement, the Hotel's Terms and Conditions shall apply exclusively; the Client's Terms and Conditions shall not become part of the agreement, even if not opposed explicitly.

II. Conclusion of the agreement

Offers made by the Hotel are always non-binding, unless the Hotel decides otherwise in the individual case. The agreement is effected when the Hotel accepts the Client's mandate.

III. Terms of payment


The agreed rates include the VAT applicable at the time.

2. Should the period between the conclusion and the performance of the agreement exceed four (4) months and the rate the Hotel usually charges for that kind of services is increased, the rate agreed by contract may be reasonably increased however, by 10 % at a maximum. The Hotel is committed to notify the Client of such increase in rate in good time before the performance of the contract. In that case, the Client is entitled to withdraw from the agreement within ten (10) workdays. 3. Subject to the provision in Sub-clause 4 below, the Hotel's services will be charged after the agreed services have been rendered. Invoices issued by the Hotel that do not have a maturity date are payable without discount within ten (10) days after their receipt. If the Client is completely in default with his payment obligations, all outstanding payments shall become due immediately. In case of default of payment, the Hotel is entitled to charge default interest amounting to 5 per cent above the base interest rate. In legal transactions where no consumer is involved the interest rate is 8 per cent above the base interest rate. The Hotel reserves the right to prove a greater damage.

4. The Hotel is entitled to ask for reasonable advance payment at any time.

5. The Client may not withhold payments or offset such payments against counterclaims, unless such claim, on which the Client's right to retention is based or against which he offsets, is undisputed, is recognized by final court decision or has been negotiated. The above limitations do not apply if the Client is a consumer.
