“Tax Fees” primarily include fees for professional services related to expatriate tax services. There were no fees that fall into the classification of “All Other Fees” for the fiscal years ended December 31, 2018 and 2017. Policy on Audit Committee Pre-Approval The Audit Committee is responsible for appointing, setting compensation for and overseeing the work of the independent registered public accounting firm. The Audit Committee pre-approves all audit and permissible non-audit services provided by our independent registered public accounting firm, including audit services, audit-related services, tax services and other services. The Audit Committee has delegated pre-approval authority to its Chair. Under this delegation, the Chair must report any pre-approval decision he or she makes to the Audit Committee at its next meeting following such approval.
