External Directorships

If Associates hold any existing outside Directorship they must have the approval of the Partner responsible for their Division. Any new Directorships require the prior written approval of the Chief Executive. Approval will be dependent on the nature of the Directorship, the time to be devoted to its activities, the potential for any conflicts of interest and the remuneration, if any. The Group D&O insurance only provides cover for positions within the Lockton group.

Whistleblowing

Associates are expected to act with the highest levels of honesty and integrity in all that they do.

There may be occasions when an Associate has a genuine concern that these high standards are not being maintained. Such concerns may include suspected criminal behaviour (e.g. money laundering), dishonesty, attempts to cover up such malpractice or dangers to health and safety or the environment. The purpose of the Whistleblowing Policy and Procedure is to ensure that if an Associate feels that wrongdoing of any kind is taking place in the work place they are able to report it. This policy applies to all Associates. In summary, reports of wrongdoing should be made to the Head of International Risk & Compliance, except for incidents relating to Health and Safety which should be reported to the Premises Division or the Head of Facilities. If Associates feel unable to raise the issue internally or wish to have their identity protected, they should contact the Company’s independent Whistleblowing Help line operated by ‘Safecall’ on 0870 2410762. The service is available 24 hours a day, and calls are charged at between 2p and 8p per minute. 10.6

Data Protection Laws

In this clause “Data Protection Laws” means all laws and regulations relating to the Processing of Personal Data as the same may be in force from time to time, including the General Data Protection Regulation (GDPR); Pursuant to the Data Protection laws the Company is a Data Controller as it determines the purpose or purposes for which, and the manner in which, personal data are processed or are to be processed. Associates have certain rights because they are the subject of personal data (a “Data Subject”) held or processed by the Company. If Associates collect, process or store personal data on, for example, clients or customers, they may also have duties and responsibilities under Data Protection Laws as an Associate of the Company.
