The company is controlled as described in Chapter

7.3.1; however, the company believes there is no risk of said control being exercised

improperly.

Changes of control

To BPCE’s knowledge, and in accordance with European regulations, there are no agreements that could lead to a change in control of the companyat a subsequent date. In accordance with Article L. 512-106 of the French Monetary and Financial Code, “the central institution of the Caisses d’Epargne and the BanquePopulairebanks (…) is incorporatedas a public limitedcompanyin which the BanquePopulairebanks and the Caissesd’Epargnetogether hold the absolute majority of the share capital and voting rights.”
