Prof. Anthony P. Polito,
2 credits day; 2 credits evening.
This course will explore the legal implications of corporate financing decisions. The course has
two main components: (1) a brief introduction to basic financial economic concepts; (2) legal
rights, duties and relationships between the holders of senior securities (primarily debt and
preferred shares), holders of common shares, and corporate directors and managers. Unlike a
business school course on corporate finance, this course focuses on the legal dimensions of
corporate financial decisions. An effort will be made, however, to understand the economic and
financial rationale underlying corporate law principles in this area. No prior familiarity with
finance will be assumed. Restricted to International LLM students
