Ombud Council AR 2026
PART C: GOVERNANCE
• Board Governance Committees In terms of section 187 of the FSR Act (2017), the Board must establish a committee to review, monitor and advise on the remuneration policy and a committee to review monitor and advise the Board on the risks faced by the Council. In addition, section 51(1)(a)(ii) of the PFMA requires the Council to have an Audit Committee. In view of the scale of the Council’s operations and the small number of Board members, it was decided to combine the audit oversight with risk management and human resources with
remuneration. The following Committees were established: • Audit and Risk Management Committee. • Remuneration and Human Resources Committee 6 . The following is the list of the members for each of these Committees, their roles in these Committees and the number of meetings held and attended during the year. The number of meetings held includes four scheduled meetings for each Committee, as well as one special meeting.

The amount of remuneration paid to each Board and Committee member for the attendance of Board and Committee meetings is listed in the Table below under “Remuneration”. These payments include remuneration for meeting preparation time. The amount shown under “other reimbursements” relates to attendance of workshops held during the period under review, travel claims and incidental expenses not related to meeting attendance.
With the exception of Mr Esterhuizen, who was appointed to the Audit and Risk Committee from 1 February 2025, all Committee members are also members of the Board. • Remuneration of Board members The remuneration of Board members is determined according to the applicable National Treasury circular and guidelines. 4 The rates during the financial year are as follows: 1.
