On December 31, 2013 the holding company that owns Fidelity Bank purchased the holding company that owned First National Bank of Byers. Since that time, we have been working diligently to make the ownership transition as seamless as possible for you. Headquartered in Wichita Falls, Fidelity Bank has been serving the banking needs of North Texans since 2003. We are committed to continuing the same tradition of reliability, integrity and responsiveness that First National Bank of Byers customers have enjoyed for the last 108 years. While you will continue to be served by the same familiar faces that you have grown accustomed to, we believe that the added benefits that Fidelity Bank brings will help enhance your overall banking relationship. Effective January 2, 2014, we expanded lobby hours as well as cut-off hours for same day credit at each FNB-Byers branch. When our transition process is completed, you will have access to three additional branch locations and more ATMs for your banking convenience.

The next step in this process is the conversion of operating systems between FNB-Byers and Fidelity Bank scheduled to occur over the weekend of April 26, 2014. As expected, there will be some changes in accounts. This comprehensive Welcome Packet is designed to help you understand those changes by providing you with information about the products and services Fidelity offers—many of which were not available through FNB-Byers. It also includes information about your Fidelity account, account disclosures, office locations and contact information. If you find you still have questions, please do not hesitate to contact us. What’s Changing

Online Banking & Bill Pay: Fidelity Bank offers two different online banking services, one for personal/small business use and one for our business customers who require cash management options. First National Bank of Byers consumer customers will need to re-enroll in Online Banking the week of April 28, 2014. Bill Pay customers may need to contact a Personal Banker to have their Bill Pay Payees transferred after they re-enroll in Online Banking if they do not know their current Bill Pay ID.(see page 5)

Important Dates & Things To Do Prior to April 25th (if you are a First National Bank of Byers Online Banking Customer): Review and document any pending First National Bank of Byers online banking transfers or bill payments. Retrieve any eStatements needed from online banking. Week of April 14th: Look for your new debit cards in the mail if you have a current First National Bank of Byers debit card. Debit cards can be activated and you can choose your PIN prior to April 25 but will not be functional until April 25 at 5:00 p.m. April 25th close of business: First National Bank of Byers changes to Fidelity Bank. FDIC Insurance: Fidelity Bank is FDIC insured. Branch Locations: The 3 First National Bank of Byers locations will remain open and join Fidelity Bank’s 3 other branches. Existing Employees: The existing employees will continue to serve your needs. Operating Hours: The lobby and drive-thru hours will remain the same as they are now. Phone Numbers: The phone numbers for the branches will remain the same.

Service: You will receive the same level of service you have come to expect, but now you will have more options.

April 25th 5:00 p.m. to April 28 2:30 p.m.: During conversion weekend, your new Fidelity Bank debit card will be authorized under decreased limits. Those limits are $135.00 via ATM and $225.00 via Point-of-Sale. Daily ATM and Point of Sale limits will revert to normal limits at 2:30 p.m. April 28. Normal limits are $300.00 daily via ATM and $1,000.00 daily via Point-of-Sale. April 28th, 8:00 a.m.: You may now bank at any of our 6 branches in North Texas.

Fidelity Money Market Checking Account

Regarding you account ending in -123. Beginning at close of business April 25, 2014, your checking account referenced above will be a Fidelity Money Market Checking account. This account has limited check writing privileges but a competitive interest rate. There is a minimum daily balance requirement of just $2,500.00 to avoid the monthly service fee, and 6 free withdrawals per month. NOTE: Federal regulation limits transfers from this account to another account or to third parties by pre-authorized automatic or telephone transfers to six per statement cycle period, with no more than six transfers by check or similar order to third parties. There is no limit on deposits, or the number of withdrawals the customer can make at the ATM, by mail or in person at Fidelity Bank.

However, rest assured that you have a choice. If you prefer to be moved to a different account, you may choose an account that better suits your needs. We will be happy to put you into the account of your choice. We have enclosed a listing of the checking account options we offer on page 9. Each of our checking accounts allows you to avoid the monthly service charge according to certain account requirements. If you choose to stay in the Money Market Checking account there will be no action needed on your part. If you prefer a different account, please let us know. We want to emphasize to you that your relationship with us is very important and we want to continue to providing the exceptional service to which you have become accustomed. Monthly checking statements All First National Bank of Byers checking and savings accounts will have a statement prepared on the night of April 25th. For most customers this will be partial month’s statement. After conversion, you next statement date will be as close to you current statement date as possible. Due to partial statements and our desire to make sure you are in the best account possible, we will waive all accounts’ service charges for 3 statement cycles. FDIC Protection

Separate FDIC Coverage on deposit accounts is maintained for six months after the merger for customers who have deposits at both institutions. This will only matter if your combined total exceeds the standard maximum deposit insurance amount. A special merger rule exists for CDs issued by an acquired bank. Separate insurance for CDs issued by the acquired bank is maintained until maturity.

Debit Cards for Current Debit Card Holders

The week of April 14th watch for your new Fidelity Bank MasterCard debit card to arrive in the mail. You may activate your card by calling the number listed on the label affixed to the front of the card. At this time you will also select your 4-digit Personal Identification Number (PIN). Although the card can be acti- vated, it will not be operational until April 25th at 5:00 p.m.

Fidelity Bank Fraud Monitoring and Alerts Fidelity Bank is utilizing a debit card fraud monitoring system to further protect our customers from debit card fraud. This system will guard your card from potential debit card fraud 24 hours a day, 365 days a year. If potential fraud is detected, the customer will be contacted via an automated telephone call. Transactions may be temporarily blocked until verification is completed. It is extremely important that you take time to update your phone number and address information with First National Bank of Byers (prior to April 25) or Fidelity Bank (after April 25). Current information will enable us to reach you as quickly as possible in the case of a fraud alert. The greeting for these calls will state “This is the Fraud Detection Center calling to verify recent transactions on your Fidelity Bank ATM/Debit Card account. If this is please press 1, if not press 2.” If you indicate by pressing 1 that you are the named cardholder, a verification of your 5-digit mailing zip code will follow. You will be able, by answering a series of questions, to let us know if the transaction in question is fraudulent. If it is, the

card will be blocked so that no other transactions can be authorized against your account. If you verify the transaction is a valid transaction no further action will be required. If we try to reach you and cannot, we will leave a message with the toll-free telephone number to call us back, date, and a personal 6-digit message code needed for the representative to locate your transaction(s) in question. Fidelity Bank will never request any unsolicited personal or account information by email, through the website, or during a fraud monitoring call. Please do not give out any personal or account information via the internet, email or phone to any party that you do not believe to be legitimate. If, at any time, you think your Fidelity Bank MasterCard debit card has been compromised to potential fraud, lost, or stolen please call any one of our 6 locations during normal business hours. Online Banking & Bill Pay Features

Online Banking/Bill Pay Features Beginning April 28, 2014 all First National Bank of Byers users will have the opportunity to begin using Fidelity Bank’s Online Banking. Fidelity Bank has a vast array of features like Bill Pay, eStatements, Mobile Banking and much more. Fidelity Bank also offers Business Online Banking which has additional Cash Management features for our business customers. What will happen with my current Online Banking with First National Bank of Byers? Fidelity Bank will not be converting your existing Online Banking access over at conversion. The Fidelity Bank registration process only takes a few minutes and you may have access to all of our new features at the time you enroll. Is there a fee to use Fidelity Bank Online Banking? No. There is no fee to use Fidelity Bank Online Banking. What will happen to my current Bill Pay with First National Bank of Byers? Fidelity Bank will not automatically move over your current Bill Pay payees. However, after you enroll if you know your First National Bank of Byers Bill Pay Access ID you may enter it into our Bill Pay Enrollment and be automatically tied to your old Bill Pay payees. If you do not know your First National Bank of Byers Bill Pay Access ID you may contact any Fidelity Bank Personal Banker and they can link your old Bill Pay payees to your new Fidelity Bank Online Banking. Is there a fee to use Bill Pay? No. There is no fee to use Fidelity Bank Bill Pay. Will more information about enrolling in Fidelity Bank Online Banking & Bill Pay be available? What’s different about Fidelity Bank Online Banking than First National Bank of Byers Online Banking? While you’ll still enjoy a user-friendly Online Banking experience like you had with First National Bank of Byers Online Banking, Fidelity Bank Online Banking offers such services as Mobile Banking where you can check balances, make transfers and see transaction history from your iPhone or Android mobile device. Fidelity offers mobile banking in three versions: Text Banking, Mobile Browser and Downloadable Mobile Application. What if I don’t currently use First National Bank of Byers Online Banking but I want to use Fidelity Bank Online Banking? Certificates of Deposit

What you need to know about your CD account: Interest Rate and Terms Your existing CD rate, term and maturity date will remain the same until maturity. Renewal or Maturity Notice

Your CD will automatically renew. At least ten (10) days prior to your CD maturity date Fidelity Bank will send you a maturity notice in the mail. At that time our staff can answer any questions you might have about your certificate of deposit options that are available. You have ten (10) days after maturity to make changes to your CD without penalty.

Your Ability to Withdraw Funds

Our policy is to make funds from your cash and check deposits available to you on the first business day after the day we receive your deposit. Electronic direct deposits will be available on the day we receive the deposit. Once they are available, you can withdraw the funds in cash and we will use the funds to pay checks that you have written. For determining the availability of your deposits, every day is a business day, except Saturdays, Sundays, and federal holidays. If you make a deposit before 3:00 p.m. on a business day that we are open, we will consider that day to be the day of your deposit. However, if you make a deposit after 3:00 p.m. or on a day we are not open, we will consider that the deposit was made on the next business day we are open. Longer Delays May Apply In some cases, we will not make all of the funds that you deposit by check available to you on the first business day after the day of your deposit. Depending on the type of check that you deposit, funds may not be available until the 2nd business day after the day of your deposit. The first $200 of your deposits, however, may be available on the first business day. If we are not going to make all of the funds from your deposit available on the first business day, we will notify you at the time you make your deposit. We will also tell you when the funds will be available.

If your deposit is not made directly to one of our employees, or if we decide to take this action after you have left the premises, we will mail you the notice by the day after we receive your deposit. If you will need the funds from a deposit right away, you should ask us when the funds will be available. In addition, funds you deposit by check may be delayed for a longer period under the following circumstances: • We believe a check you deposit will not be paid. • You deposit checks totaling more than $5,000 on any one day. • You redeposit a check that has been returned unpaid. • You have overdrawn your account repeatedly in the last six months. • There is an emergency, such as failure of computer or communications equipment. We will notify you if we delay your ability to withdraw funds for any of these reasons, and we will tell you when the funds will be available. They will generally be available no later than the 7th business day after the day of your deposit.

Your direct deposit will continue to post to your accounts when they are converted to Fidelity Bank accounts. > Will I have a choice in the type of account available to me, or will you choose one for me? Your account(s) will be transferred to the Fidelity Bank account(s) that most closely fit the features and benefits of your existing account(s). After April 28, if you determine that another account type is more appropriate, simply contact any Fidelity Bank Personal Banker to change your account type. > May I continue to use my existing checks for my accounts? Yes, you may. First National Bank of Byers checks will continue to clear for an undetermined amount of time after April 25. However, your bank routing number will change. When you reorder your checks through Fidelity Bank the routing number at the bottom of your checks will automatically change. No. Your interest rate, payment amount, due date and term will remain the same > How does this affect my FDIC coverage? Your FDIC coverage at Fidelity Bank is the same that you had at First National Bank of Byers. When two or more insured banks merge, deposits for the purchased bank are separately

insured from deposits at the purchasing bank for at least six (6) months after the merger. This grace period gives a depositor the opportunity to restructure his or her accounts, if necessary. CDs from the purchased bank are separately insured until the earliest maturity date after the end of the six (6) month grace period. If a CD matures during the grace period and is renewed on any other basis, it would be separately insured only until the end of the six (6) month grace period. > Will the terms on my CD change? No. The interest rate and terms of any existing Certificate of Deposit that you have at First National Bank of Byers will remain the same. Please refer to the Certificate of Deposit section in this book for complete product terms and conditions . > When will I get my new payment book for my loan? Fidelity Bank does not use coupon books. Billing notices are processed and mailed within 15 days of payment due date. Payments can be made at any Fidelity Bank location. You can continue to use your current coupon book for payments for the life of your existing loan. > When will I receive my statement? All First National Bank of Byers checking and savings accounts will have a statement prepared on the night of April 25. For most customers this will be a partial month’s statement. After conversion, your next statement date will be as close to your current statement date as possible. Due to partial statements and our desire to make sure you are in the best account possible, we will waive all accounts’ service charges for 3 statement cycles. Beginning with your fourth statement cycle, standard service charging will occur.
