Variable compensation of members of the Executive Board holding an employment contract with the Company (Supervisory Board meeting of March 16, 2017) Person concerned: Virginie Morgon (Deputy Chief Executive Officer and member of the Eurazeo Executive Board and Chairwoman of the Executive Board from March 19, 2018) and Philippe Audouin (CFO and member of the Exeve Board) Nature and terms: At its meeting of March 16, 2017, the Supervisory Board set the variable compensation for 2016 to be paid to members of the Executive Board in 2017 in accordance with the quantitative and qualitative criteria determined by the Supervisory Board meeting of March 15, 2016. The variable compensation of the members of the Executive Board holding an employment contract is as follows:

Virginie Morgon: gross variable compensation of €718,083. Philippe Audouin: gross variable compensation of €346,033.
