STATUTORY AUDITORS’ REPORT ON THE CAPITAL DICREASE BY CANCELLATION OF SHARES (THIRTEENTH RESOLUTION)

Combined General Meeting of 5 June 2018 To the shareholders,

In our capacity as Statutory Auditors of your Company, and in accordance with the requirements of Article L. 225-209 of the French Commercial Code (Code de commerce) concerning share capital decreases by cancellation of repurchased shares, we hereby report to you on our assessment of the reasons for and the terms and conditions of the proposed share capital decrease. The Company’s Executive Management asks that you delegate to it, for a period of 24 months from the date of this General Meeting, all powers to cancel, on one or more occasions and up to a maximum of 10% of the Company’s share capital per period of 24 months, all or part of the shares held or purchased under the authorisation for your Company to buy back its own shares as provided pursuant to the terms of the aforementioned article. WeperformedtheproceduresthatwedeemednecessaryinaccordancewithprofessionalpracticeaspertheFrenchnationalauditingbody,Compagnie nationale des commissaires aux comptes, relating to such engagements. These procedures involve examining the fairness of the reasons for and the terms and conditions of the proposed share capital decrease, which is not considered to infringe upon the principle of equal treatment of shareholders. We have no comments on the reasons for or the terms shareholdersand conditions of the proposed share capital decrease.
