Mr. Lars Risland was born on the 22 December 1958 in Lund Sweden. Mr. Risland is a former Sub-marine captain in the Swedish Royal Navy and educated insurance specialist. He was during 1987-95 insurance broker. From 1995-2004 he was CEO of Carnegie Pension Consulting and senior member of the management team of Manexo Asset management. 2005-2008 Mr. Risland was member of the board of Max Matthiesen and responsible for the integration of this company in the Carnegie group. During the period 1999-2004 Mr. Risland was chairman of the Swedish Insurance Brokers Association. Mr. Hans Stefan Mårtensson was born the 1 June 1960 in Lund Sweden. Mr. Mårtensson is educated in law from the Stockholm University and educated psychotherapist from Norsk Gestalthlyskole, Oslo. Mr. Mårtensson was member of the executive management board of Rex Invest 1989-91. He was independent consultant and advisor in strategy and finance related questions during 1992- 1993. Mr. Mårtensson is former CEO of Galahad Invest, during 1994-1998 an investment company with focus on investments in meditech. 1999-2010 Mr. Mårtensson was independent strategy, management and financial advisor. 2011- Mr. Mårtensson is CEO of the Manexo Group Remuneration Committee The function of a specific remuneration committee, as per the Code’s guidelines, is to prepare proposals on remuneration and other terms of employment for the executive management. The Board of Directors has generally felt it more appropriate that the entire Board of Directors performs the remuneration committee’s tasks, however without the Board member(s) who are also part of the executive management. In some specific cases, Mr Bertil Olsson and Mr Bo Falkman have been given the typical task of a remuneration committee, to prepare remuneration proposals. The guiding philosophy of the Board of Directors in determining compensation for executives is the need to provide a compensation package that is competitive and motivating, will attract and retain qualified executives, and encourage and motivate performance.
