(10) days prior to the meeting: (a) on a reasonably accessible electronic network, provided that the information required to gain access to such list is provided with the notice of the meeting; or (b) during ordinary business hours, at the principal place of business of the corporation. If the meeting is to be held at a place, then the list shall be produced and kept at the time and place of the meeting during the whole time thereof and may be inspected by any stockholder who is present. If the meeting is to be held solely by means of remote communication, then the list shall also be open to the examination of any stockholder during the whole time of the meeting on a reasonably accessible electronic network, and the information required to access such list shall be provided with the notice of the meeting. The stock ledger shall be the only evidence as to who are the stockholders entitled to examine the stock ledger, such list or the books of the corporation, or to vote in person or by proxy at such meeting. The Secretary shall also keep such other books and/or records and perform such other duties as may be set forth in these Bylaws or as may be assigned by the Board of Directors. ADDITIONAL PROVISIONS Seal. The corporation shall not be required to have a seal but in the event it chooses to do so, the same shall be circular in form and shall have inscribed thereon the name of the corporation and the words "Corporate Seal" and "Kansas". Fiscal Year. The fiscal or business year of the corporation shall end at such time as the Board of Directors shall determine. Dividends. Dividends may be declared annually or more frequently if the Board of Directors so directs and shall be paid according to law. Dividends may be paid in cash, in property or in shares of the corporation's capital stock, in the case of shares with par value at par, and in the case of shares without par value at such price as may be fixed by the Board of Directors. Holidays. Whenever the day set for a meeting as hereinbefore designated shall fall on a holiday, such meeting shall be held on the next business day. Waiver of Notice. Any notice required to be given by law or by the corporation's Articles of Incorporation or Bylaws may be waived in writing or by electronic transmission delivered to the Secretary of the corporation, by the person entitled to notice, whether before or after the time stated in the notice. Attendance of a person in person at a meeting shall constitute a waiver of notice of such meeting, except when the person attends a meeting for the express purpose of objecting, at the beginning of the meeting, to the transaction of any business because the meeting was not lawfully called or convened. Amendments. Subject to the corporation's Articles of Incorporation, these Bylaws may be adopted, amended or repealed (a) (i) by a majority vote of the stockholders or (ii) by a consent by electronic transmission or a written consent of all the holders of
