Ratification of the co-option of two directors (13 th and 14 th resolutions) In the thirteenth and fourteenth resolutions, shareholders are asked to ratify the co-option of the following persons as directors of your Company: Catherine Leblanc whose co-option took place at the Board of V Directorsmeetingof June 23,2020, to replaceBernardDupouy,who resigned, for the remainderof his term of office, i.e. until the end of the General Shareholders’ Meeting called in 2023 to approve the financial statements for the year ended December 31, 2022; and Philippe Hourdain whose co-option took place at the Board of V Directors meeting of June 23, 2020, to replace Thierry Cahn, who resigned, for the remainder of his term of office, i.e. until the end of the General Shareholders’ Meeting called in 2022 to approve the financial statements for the year ended December 31, 2021. CatherineLeblanc, 66 years, is Chairwomanof the Board of Directors of Banque Populaire Grand Ouest ( see the fact sheet on Catherine Leblanc in chapter 2 “Corporate Governance” section 2.1.4 of the Natixis 2020 Universal Registration Document ) and provides the Board of Directors with her expertise in the following areas: Banking, Finance, Corporate Management, Corporate Strategy, Human Resources and Governance/Legal. Philippe Hourdain, 65 years, is Chairman of the Board of Directors of Banque Populaire du Nord ( see the fact sheet on Philippe Hourdain in chapter 2 “Corporate Governance” section 2.1.4 of the Natixis 2020 Universal RegistrationDocument ) and provides the Board of Directors with his expertise in the following areas: CSR/Sustainable development, Banking, Corporate Strategy, Digital/Technology and Governance/Legal.

Total amount of compensation paid in 2020 to the persons referred to in Article L.511-71 of the French Monetary and Financial Code (12 th resolution) In accordance with the provisions of Article L.511-73of the French Monetaryand Financial Code, the purposeof the twelfth resolutionis to consult with shareholders at the General Shareholders’ Meeting about the overall budget for compensationpaid to Natixis employees referred to in Article L.511-71 of the same Code during fisyceaal r 2020. The definition of regulated categories of staff at Natixis is primarily basedon the principlesset out in DirectiveNo. 2013/36/EU,knownas CRD IV, and the FrenchMinisterialOrder of November 3,2014, and is determinedaccordingto criteriaset by the EuropeanBankingAuthority (EBA) in its regulatory technical standard publishedon December 16, 2013, and approved by the European Commission in Commission Delegated Regulation (EU) No. 604/2014 of March 4, 2014. Total compensationpaid to the above-mentionedNatixis employees during the fiscal year ended December 31, 2020, came to €180 million (excluding employer social security charges). Since variable compensation is paid out in tranches for several years after it is awarded, this amount is not the same as the amount of compensation awarded for fiscal year 2020. This amounitncludes: fixed compensation paid in 2020; V variable compensation paid in 2020 for the year 2019; V or paid in 2020 and awarded in previous fiscal years (2017, 2018 V and 2019); as well as the free shares and performance shares awarded in V 2016, 2017 and 2018, and delivered in 2020.
