Explanation
The Executive Board shall seek the powers necessary to accomplish all publication and filing formalities resulting from the holding of this
general meeting of shareholders.

NINETEENTHRESOLUTION
Powers for formalities
Pursuant to the quorum and majority requirements applicable to
extraordinary general meetings of shareholders, the general meeting of
shareholders confers all necessary powers on the holder of an original, copy
or extract of the minutes of its deliberations to file any documents and carry
out any formalities required by law.
