Companies (Amendment) Bill,
1982 (plus Explanatory
Memo.)
To implement the provisions ofthe E.E.C. Second
Directive on company law. The Directive stipulates
procedures for the formation of public companies
limited by shares or limited by guarantee and
having a share capital and regulates the subscrip-
tion, maintenance, increase or reduction of their
capital. The aim of the Directive is to ensure,
throughout the E.E.C., minimum equivalent pro-
tection for both the shareholders and creditors in
relation to the capital of such companies. The Bill
also provides for companies changing between
limited and unlimited status.
