RECITALS

A. The Port Authority of New York and New Jersey (the “ Port Authority ”) has engaged LaGuardia Gateway Partners, LLC (the “ Developer ”) pursuant to a Lease dated June 1, 2016 (the “ Lease ”), to operate, maintain and demolish the existing Central Terminal Building at LaGuardia Airport and design, construct, finance, operate and maintain a replacement Central Terminal Building and certain other improvements at LaGuardia Airport (the “ Project ”), and the Developer has engaged the Contractor pursuant to a Design-Build Contract dated June 1, 2016 (the “ Design-Build Contract ”) to perform demolition, design and construction obligations with respect to the Project (the “ DB D&C Work ”).

B. Subcontractor desires to perform, and Contractor has agreed to enter into this Subcontract with Subcontractor for the performance of a portion of the DB D&C Work required to complete the Project.

NOW THEREFORE , for and in consideration of the covenants and agreements of the parties contained herein, Contractor and Subcontractor agree as follows:
