SALES PROCESS The Seller, CAH A/S, intends to structure the transaction as a share deal, involving the divestment of all shares in the SPV owning the property located at Toldbodgade 24, DK-1253 Copenhagen K, and running hotel operations from the property under the name of Copenhagen Admiral Hotel. This represents a unique opportunity to secure a landmark hotel property, appealing to both owner-operators and investors, also in terms of joint venture structures between property investors and first-class hotel operators. Timeline A structured sales process commences in February 2019, targeting closing by the end of the second quarter of 2019. Subject to signing a non-disclosure agreement (NDA), prospective buyers will be granted access to an Investment Memorandum (IM) and a preliminary virtual data room, including performance figures. Prospective buyers are invited to submit an indicative, non-binding offer in April 2019. Further details of the sales process will be made available in a process letter accompanying the IM. By structuring the transaction as a share deal, the parties are able to benefit from deferred taxes.
