First Mates Club of North Channel Yacht Club By-Laws As amended 10/05/2019 A RTICLE I: N AME
The name of this organization shall be:
“FIRST MATES CLUB” OF NORTH CHANNEL YACHT CLUB.
A RTICLE II: O BJECT
The object of this organization is to foster harmony and friendship among the members of the Club and promote activities for the benefit of the organization and the North Channel Yacht Club.
A RTICLE III: M EMBERSHIP
Section I:
Membership in the First Mates Club shall be open to members in good standing of the North Channel Yacht Club, significant others of members in good standing of North Channel Yacht Club and to Junior Members in good standing of the North Channel Yacht Club.
Section II:
Membership resignation from North Channel Yacht Club shall also operate as resignation from the First Mates Club.
Section III:
Charter members shall be those members signing the attendance record of the first two organizational meetings, having paid that first year’s dues.
Section IV:
Members shall pay annual dues of Twenty Dollars ($20.00). Dues shall be payable to the Membership Director by February 1, in order to provide a complete list of members for the NCYC Roster. All members shall pay full dues regardless of the month in which they join.

A RTICLE IV: O FFICERS
Section I:
The Officers of this organization shall be: President, Vice-President, Recording Secretary, Treasurer and Corresponding Secretary.
Section II:
The newly elected officers shall be installed and continue in office until the next election or appointment of their successor.
A.
The Office of President and Vice President shall serve a term of 1 year.
B.
Nominee for the office of Vice President shall be a member of First Mates who has served on the current or past Board of Directors for at least one year. The nominee must regularly attend meetings and participate in First Mates activities. The Vice President shall traditionally move up to the office of President the following year.
C.
The Office of Treasurer elected will serve for two years.
D.
The office of Recording Secretary and Corresponding Secretary elected will serve for 1 year, with the option to continue serving 1 more year without re-election, upon approval by the First Mates Board of Directors.
E.
No member shall hold more than one office, elected or appointed, at any one time.
F.
No Officer, Director or Appointee of the First Mates Club shall serve simultaneously as an Officer or Director of the North Channel Yacht Club.
Section III:
Vacancies in office may be filled by appointment by the Board of Directors until the next General Election.

A RTICLE V: M EETINGS
Section I:
Robert’s Rules of Order shall be the authority on all points NOT covered by these By-Laws.
Section II:
General Membership Meetings will be held in conjunction with NCYC Fitting Out, Labor Day and Haul Out events, as well as in conjunction with the annual First Mates Holiday Party, and at such other times as shall be designated by the Board of Directors, upon reasonable notice to the membership.
Section III:
Board Meetings shall be held on a regular basis to address matters that will be presented at General Membership meetings.
Section IV:
One-fifth of the active membership of this organization shall constitute a quorum at any regular or annual meeting, but lack of a quorum shall not prevent the program of the day.
A RTICLE VI: A NNUAL M EETING
Section I:
The General Membership Meeting held in conjunction with the First Mates Holiday Party shall be considered the Annual Meeting, at which time the newly elected officers shall be installed. All Officers and Directors, upon retiring from office, shall promptly deliver to their successors all records, books, papers, correspondence or any other property belonging to the organization.
Section II:
There shall be no formal program planned for the Annual Meeting.
Section III:
The fiscal year shall be January 1st to December 31st.

Section IV:
The installing Officer shall be any Past President not currently on the Board.
Section V:
The Incoming President and Board of Directors shall begin their official duties after the installation at the Annual Meeting.

Section I:
Officers shall be elected by all members in good standing of the FIRST MATES CLUB. Ballots will be distributed to all members in September by the Nominating Committee and should be returned to the Committee in time for the General Membership Meeting held in conjunction with NCYC Haul Out events. At the General Membership Meeting in conjunction with the NCYC Haul Out Event, the President shall appoint a Teller Committee consisting of two (2) or more members. Elected officers, appointees or nominees shall not serve on the Teller Committee.

A RTICLE IX: B OARD OF D IRECTORS
Section I:
The entire government and management of the Club will be vested in the Board of Directors, which shall consist of the elected Officers, the appointed Directors, and the Immediate Past President. Changes to existing By-Laws shall be subject to the approval of the Board of Directors and then presented to the membership for approval by a vote.

Section II:
Regular meetings of the Board of Directors shall be held each month from January through May and August through November.
Section III:
All Special Committee Chairpersons shall be appointed from the floor during a regular meeting if necessary. Any new member of less than one year should be supported by a member of longer standing as Co-Chairperson, as new members are not familiar enough with the membership and organization. The Board of Directors shall not spend over $500.00 for any particular item unless directed to do so by a majority vote of members present at any regular meeting and said expense will be reported at the next scheduled general membership meeting.

A Special Board Meeting may be called by the President or any three (3) members of the Board of Directors.
Section VI:
Any three Officers and two appointed Directors shall constitute a quorum at any meeting of the Board of Directors.
A RTICLE X: D UTIES OF O FFICERS
Section I:
The incoming President and Board of Directors shall begin their official duties after the installation at the Annual Meeting.
Section II:
The duties of Officers shall be such as are implied by their respective titles and are specified in these By- Laws.

Section III:
PRESIDENT
A.
Shall preside at all meetings and appoint Directors of all Standing Committees, subject to the approval of the Board of Directors, in accordance with these By- Laws.
B.
Shall be an Ex-Officio member of all committees, except the Nominating and Teller Committee.
C.
Shall countersign checks with the Treasurer.
D.
Shall review the duties of each elected office at the General Membership Meeting held in conjunction with NCYC Labor Day events.
E.
Votes only on ballot issues or to break a tie.
F.
Shall monitor the activities, duties and decisions of the Board of Directors.
G.
Shall appoint a Budget Committee to consist of the President, Vice President, Treasurer and one non- board member in good standing. The Vice President shall preside as chairperson for the Budget Committee.
H.
Shall appoint a Past President as Chairperson for the Nominating Committee.
I.
Shall appoint an active First Mate in good standing to review the financial records in June on a yearly basis, except upon election of a new Treasurer.
Section IV:
VICE PRESIDENT
A.
Shall assist the President in performing her duties, officiate in the absence of the President and may countersign checks with the Treasurer when necessary.

B.
Shall be responsible for the maintenance of the Mentor Program – a program designed to pair new members with current First Mates. Duties will include obtaining from the NCYC Membership Chairman a list of all those to be interviewed for eligibility to the Club; attempting to ascertain that a First Mate (preferably a Board Member) will be in attendance at the interview; and the selection of a First Mate to function as the mentor-sponsor for the first year. Shall prepare Special Project Budget for the following year to be included in the Treasurer’s Report and submitted to the Board of Directors for approval.

Shall reside as Chairperson for Budget Committee for current year.
Section V:
RECORDING SECRETARY
A.
Shall keep all records of the Board and General Membership Meetings.
B.
Shall submit minutes of Board of Directors meeting to Board of Directors for approval.
C.
Shall submit General Membership Meeting minutes to the General Membership for approval.
Section VI:
TREASURER
A.
Shall make all collections for the organization as directed by the Board of Directors. Shall establish a FIRST MATES CLUB Checking Account consisting of President, Vice President and Treasurer of which any two signatures are required. Shall pay all bills by check, keep an itemized account of all receipts and disbursements for the year and present a written report at each meeting. Shall record all financial transactions, reconcile monthly bank statements, prepare monthly cash flow reports and Treasurer’s reports to be submitted at each of the monthly Board Meetings to the Board of Directors for approval. Shall submit current approved

Treasurer’s Report at each General Membership meeting for approval.
C.
Shall sit on the Budget Committee and prepare a 3- year cost analysis to be completed by August of the current year. Shall prepare and present to the Board of Directors the following year financial budget for approval as agreed upon by the Budget Committee. Shall present approved budget to the General Membership for approval at the General Membership Meeting held in conjunction with the NCYC Labor Day event. Shall provide NCYC Treasurer with monthly sales tax figures by the 10 th of every month from May through December. The Treasurer shall provide the NCYC Treasurer the previous year financial records on or before February 28 th . As per the NCYC By-law Article VIII Section 7 Item A. In preparation for the “Club Review”. The Treasurer shall submit the prepared “NCYC Review” report at the following May Board meeting and the General Membership meeting held in conjunction with the NCYC Fitting Out events each year. Shall send greetings, including get well, thank you, sympathy, or other cards, to all members of North Channel Yacht Club as appropriate, including a sympathy card in the event of the passing of an immediate family member. Shall co-ordinate with NCYC Secretary and the Commodore to send a flower arrangement, cookie bouquet, fruit baskets, memorial or other item appropriate to the circumstances, to any NCYC Member in the event of: CORRESPONDING SECRETARY Shall conduct all official correspondence for the Club.

Each year, the Flag Officers will communicate to the First Mates Corresponding Secretary the maximum spending limit for each occurrence. NCYC will pay for these expenses. The First Mates will contribute each year to NCYC up to their set budget toward the “Flower Expense”. The Corresponding Secretary will communicate to the First Mates Treasurer prior to December 31 st of the year, the amount owing to NCYC.
Section VIII:
PAST PRESIDENT
Shall serve on the Board of Directors on e year with voting privileges.

A RTICLE XI: C OMMITTEES
Section I:
After election results are announced, the President shall appoint Directors of standing committees: MEMBERSHIP, SOCIAL ACTIVITIES and PUBLICITY and BOATIQUE. These individuals shall be voting members of the Board. Other committees shall be appointed by the President or the Board of Directors as needed.
Section II:
MEMBERSHIP DIRECTOR
A.
Shall collect the dues and report acceptance of new members to the Board of Directors.
B.
Shall create, print and distribute a current roster to the general membership each year.
C.
Shall introduce NEW MEMBERS at the monthly meetings.
D.
Shall keep the Membership Roster up to date.

E.
Shall see that all members sign the attendance sheet at each meeting and give the count to the Recording Secretary.
Section III:
SOCIAL ACTIVITIES DIRECTOR
A.
Shall arrange for programs for the meetings and shall assist any special committees on Social functions during the year. Shall make a report regarding each social function at the next scheduled Board Meeting and General Membership Meeting following the event. A copy of the report and all other materials pertaining to the function shall be provided to the President and Treasurer who will maintain a file of such records.

Section IV:
PUBLICITY DIRECTOR
A.
Shall submit notices of Club meetings and activities to the “BEACON” (the NCYC Newsletter), and to the news media, when appropriate.
B.
Shall submit an article for publication to the Editor of the BEACON no later than the 20th of each month.
C.
Shall accept from the Directors, Officers and Chairpersons of Special Committees information and photographs for inclusion as appropriate in articles and news releases. Shall have authority to determine the content and dissemination of materials to the BEACON and other news media, in accordance with these By-Laws.

BOATIQUE DIRECTOR
A.
Shall coordinate the buying and day-to-day operations within the specified budget determined by the Board. Has authorization to purchase Boatique incidentals with bank Debit Card as directed by the President, Vice President or Treasurer of not more than

$1000.00.
B.
Shall have the responsibility for inventory and review of items stored and sold in the Boatique. May periodically poll the membership for evaluation, recommendations, etc. Shall make recommendations for re-pricing and restocking of items as necessary. Shall submit monthly written reports to the Board of all Boatique expenses and revenues to date and shall submit to the Board and General Membership in October a detailed summary report of the year’s activities. Shall oversee the inventory, sales receipts and tracking of all items bought, stocked or sold in Boatique. Will be responsible for the staffing of the Boatique. Will be responsible for weekly deposit of all receipts and monies generated by the Boatique. At the discretion of the incoming President and Boatique Director, a First Mate in good standing may be appointed as Assistant Boatique Director for a period of one year. This Appointee may attend scheduled Board meetings, but shall not have voting privileges. Shall review with the Board the annual budget and expenditures for the Boatique for the following year.

Section VI: NOMINATING COMMITTEE
A.
A chairperson shall be appointed by the Board of Directors at least (6) weeks prior to the General Membership meeting held in conjunction with NCYC Fitting Out Weekend. Shall consist of four (4) members, including a Chairperson. Officers and Directors shall not serve on the Nominating Committee.

The composition of the Nominating Committee shall be announced to the membership via the July issue (or earlier) of the Beacon (the NCYC monthly newsletter).
A RTICLE XII: N OMINATIONS AND E LECTIONS
Section I:
Election procedures shall be the charge of the Nominating Committee.
Section II:
At the General Membership Meeting held in conjunction with Labor Day events, the Nominating Committee Chairperson shall:
A.
Accept nominations from the floor, providing the nominee is willing to accept the nomination.
B.
Present its slate of nominees, having obtained the consent of the nominees to have their names submitted. The slate shall consist of no more than three (3) candidates for each office. The Chairperson of the Nominating Committee shall require nominees for each office to stand and be recognized.
C.
The President shall ask for a motion for nominations to be closed.
D.
Section IV:
At the General Membership Meeting held in conjunction with NCYC Haul Out events, the Chairperson of the Nominating Committee shall:
A.
Ask membership for any ballots that were not returned by mail.
B.
Oversee the counting of ballots by the Teller Committee and report results to the President who will, in turn, announce the election results.

Ask for a motion that ballots be destroyed , and oversee destruction of the ballots.
C.
A RTICLE XIII: A MENDMENTS
Section I:
These By-Laws may be amended, provided the proposed amendment is submitted to the Board of Directors for study and approval. All approved proposed amendments shall be submitted at the General Membership Meeting in conjunction with the NCYC Labor Day event. The By-Laws and proposed amendments will be printed as a ballot and mailed, or e-mailed to all members along with the election ballots. Approval by two-thirds (2/3) of the returned ballots is necessary in order for the changes to be adopted. With a vote of approval the proposed amendment shall become part of the By-Laws and announced at the General Membership Meeting in conjunction with the NCYC Haul Out event.
ADDENDUM
PROCEDURE FOR INSTALLATION OF OFFICERS
OFFICERS ELECT will stand before the membership and each will be introduced.
Installation officer will then read the following:
You have been chosen by the members to fill the various offices of the First Mates Club for the coming year. By choosing you, they have shown great confidence in your ability to fulfill the obligations of the various offices. You will, I know, prove worthy of their trust to serve them well and, ever bearing in mind that the welfare and success of the Club depends on you.
Raise your right hand, please, and repeat after me, giving your full name where required.
