HUMAN RESOURCES COMMITTEE
The Compensation and Human Resources Committee has reviewed and discussed the
Compensation Discussion and Analysis set forth in this proxy statement with management. Based on
the foregoing review and discussions, the Committee recommended to the Board of Directors that the
Compensation Discussion and Analysis section be included in this proxy statement and incorporated by
reference into our Annual Report on Form 10‐K for the year ended January 3, 2015.
This report of the Compensation and Human Resources Committee has been presented by the
