REPORT OF THE AUDIT COMMITTEE

The Audit Committee of the Board is currently comprised of four directors, each of whom is

independent as defined in the NYSE’s listing standards and SEC rules. The Audit Committee operates

under a written charter adopted by the Board.

The Company’s management is responsible for the Company’s internal controls and the financial

reporting process, including the system of internal controls. The Company’s independent registered

public accounting firm is responsible for expressing an opinion on the conformity of the Company’s

audited consolidated financial statements with accounting principles generally accepted in the United

States. The Audit Committee’s responsibility is to monitor and oversee this process.

The Audit Committee has reviewed and discussed the audited consolidated financial statements

of the Company with management and Deloitte & Touche LLP, the Company’s independent registered

public accounting firm. The Audit Committee has discussed with Deloitte & Touche LLP matters

required to be discussed by Auditing Standard No. 16 of the Public Company Accounting Oversight

Board,

Communications with Audit Committees

, and Rule 2‐07 of SEC Regulation S‐X.

The Audit Committee has received from Deloitte & Touche LLP the written disclosures and the

letter required by applicable requirements of the Public Company Accounting Oversight Board regarding

the independent registered public accounting firm’s communications with the audit committee

concerning independence, and has discussed with the independent registered public accounting firm its

independence. The Audit Committee considered whether Deloitte & Touche LLP’s provision of

non‐audit services is compatible with maintaining Deloitte & Touche LLP’s independence.

The Audit Committee discussed with the Company’s internal auditors and independent

registered public accounting firm the overall scopes and plans for their respective audits. The Audit

Committee meets with the internal auditors and independent registered public accounting firm, with

and without management present, to discuss the results of their examinations, the evaluation of the

Company’s internal controls and overall quality of the Company’s financial reporting.

Based on the Audit Committee’s reviews and discussions with management, the internal

auditors and the independent registered public accounting firm referred to above, the Audit Committee

recommended to the Board that the audited consolidated financial statements be included in the

Company’s Annual Report on Form 10‐K for the year ended January 3, 2015 for filing with the SEC.

currently comprising the Committee: Thomas J. Fischer (Chairperson), Curtis W. Stoelting and Jane L.

Warner.
