Additional Comments: CareFirst space at 10715 is currently separately metered. 10715

Red Run Boulevard is scheduled for reassessment in 2017 and will appealed at that

time if necessary.

7.

Tenant Improvement Allowance

Please indicate the Landlord’s proposed Tenant Improvement Allowance for the Extension Space, and timing

such allowance will be effective. Please confirm CareFirst’s ability to apply any portion of the Tenant

Improvement Allowance toward all hard and soft costs. Please confirm that CareFirst will have the ability to

apply any unused Tenant Improvement Allowance toward its rent obligations.

Landlord Response: Merritt shall provide and ten dollar ($10.00) per square foot Tenant

Improvement allowance for 10800 and 10802 Red Run Boulevard to be used in 2017. Merritt

will provide a seven dollar and fifty cent ($7.50) Tenant Improvement Allowance for 10715 Red

Run Boulveard to be used in 2018.

Test Fit Allowance

Please confirm Landlord’s willingness to reimburse CareFirst’s space planner for the cost of performing a test

fit (up to $0.15 per RSF) of CareFirst’s program in the Building, whether or not the Building is ultimately

selected.

Landlord Response: In the event CareFirst executes a Lease extension with Merritt, Merritt will

reimburse CareFirst $0.15 PSF for the test-fit services. In addition, Merritt can provide design

services free of charge to CareFirst by utilizing Merritt’s in-house designers.

Base Building

As you are aware, CareFirst performed a Property Condition Assessment Report dated April 30, 2015 (the

“Report”). This report is provided herein in Exhibit A. Based on the findings of the report, please confirm

Landlord shall, at Landlord’s sole cost and expense, within the timeframe requested, perform the following

key upgrades or repairs to the Base Building identified and requested by CareFirst. If such upgrades or repairs

are already scheduled, budgeted or otherwise planned, please indicate the timing of such work:
